CHARTER

The Twenty-Sixth of September in the Year Two Thousand Five


Whereas the Sycamore Seniors Golf League ("The League") has operated for many years without a charter or a codified format, herein is defined the organization, the structure of play and the means by which to make changes. A Board of Directors is established.

Article 1. - THE BOARD OF DIRECTORS. A Board of Directors (herein "the Board") shall consist of a President, a Secretary, and such past officers who wish to serve. If the membership from these sources is less than five, additional members may be elected by a majority of the Regular members to bring the number to five. Should a vacancy occur a replacement may be named by an ad hoc election of the entire membership. The Board shall have the sole authority to interpret the articles herein.

Should an issue arise which a majority of the Board determines to be of sufficient importance, the Board may decide the issue and direct the President to enact the opinion.
However should any three of membership object to the ruling of the Board they may call for a vote of the entire membership, the issue to be decided by a majority attending - a quorum being two thirds of the membership after notification of all of the members. Any action by the Board may be directed by, supplemented by or superceded by a vote of a quorum of the Regular Members.

Article 2. - THE OFFICERS. The Board shall appoint a President and a Secretary for a one-year term. Alternatively, these officers may be elected by the membership, a quorum being two thirds of the Regular Members. The President shall be responsible for the operation of the League, collect and account for all dues and distributions, and issue a cash flow statement at the end of the season.

He shall represent the League in dealing with outside agencies and the management of the golf course. He shall determine when to cancel play due to adverse conditions. He shall establish the rules of play as they deviate from the Standard Rules of Golf, interpret them, and be the sole arbitrator of disputes.

The Secretary shall maintain a list of Regular Members and Substitute Members, record all scores and compute handicaps. He shall prepare the score cards, deliver them to the course prior to start of play, collect and audit them at the end of play. He shall prepare reports as directed by the Board and of his choosing. He shall report the proceedings of the Board. He shall assume the duties of the President in his absence.

Article 3. - COMPENSATION OF OFFICERS The President and Secretary shall receive a monetary compensation, the amounts to be determined by the Board. In Addition, the President and the Secretary shall be reimbursed for expenses incurred in the performance of their duties. Those of the President shall be reviewed and approved by the Board. Those of the Secretary shall be approved by the President.

Article 4. - CHANGES TO THE FORMAT OF PLAY Absent any changes made in the interim, the format and rules of play shall begin each year as they were at the conclusion of the previous year. Changes to the format shall be by the Board.

Article 5. - AMENDMENTS This document will be valid when signed by a majority (21) of the Regular Members. It may be amended by the same majority.
